1. Agreement
These terms govern your use of omneon.site and any services provided by Omneesoft LLC ("Omneon", "we", "us"). By using this site or engaging us for work, you agree to these terms.
2. Engagements
Specific project work — scope, timeline, and fees — is governed by a separate written agreement (a statement of work or engagement letter) between Omneon and the client. Where these terms and a signed agreement conflict, the signed agreement controls.
3. Fees and payment
Fees are as set out in the applicable engagement agreement. Unless stated otherwise, invoices are due within 15 days of issue. Work may be paused if payment is more than 15 days overdue.
4. Intellectual property
Unless the engagement agreement states otherwise, ownership of custom code and deliverables built specifically for a client transfers to that client upon full payment. Omneon retains ownership of pre-existing tools, frameworks, and internal libraries used to deliver the work, and grants the client a license to use them as embedded in the delivered product.
5. Confidentiality
Each party agrees to keep confidential information received from the other party private, and to use it only for the purposes of the engagement. This obligation survives the end of the engagement.
6. Warranties
We warrant that services are performed with reasonable skill and care. Beyond that, the site and any deliverables are provided "as is," without warranties of any kind except as expressly stated in a signed engagement agreement.
7. Limitation of liability
To the maximum extent permitted by law, Omneon's total liability arising out of or related to an engagement will not exceed the fees paid by the client for that engagement in the three months preceding the claim. Omneon is not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate an engagement as set out in the applicable agreement. Fees for work performed up to the termination date remain payable.
9. Changes to these terms
We may revise these terms from time to time. Continued use of the site after a revision constitutes acceptance of the updated terms.
